默克通用採購條款

1. 適用範圍

1) 除非雙方另行簽訂書面合同明確約定不適用本通用採購條款(以下簡稱“本條款”)全部或部分內容,本條款將是採購合同或訂單不可分割的一部分,應予適用

2)本條款應附于採購合同或訂單後,由買賣雙方在確認/簽署採購合同或訂單時一併確認本條款。如本條款有新的版本,在默克有權自行決定該新版本是否適用於其開始執行之前已經簽訂的採購合同或訂單。如默克決定適用新的版本,則該新版本在默克向供應商書面通知該決定並提供該新版本後方可適用。

 

2. 採購訂單及交付

1) 僅書面採購合同/訂單以及經雙方確認後的書面採購合同/訂單修改具有約束力。

2) 供應商應對訂單及時進行書面確認。如果默克在下訂單日之日起3個工作日內沒有得到供應商的書面確認,則訂單自動失效。

3)部分交付或部分履行必須經默克事先書面同意。

4)如果供應商發現自己不能,或不能按時,履行其全部或部分義務,供應商應立即書面通知默克,並說明原因及可能的延誤時間。默克有權決定是否同意延長供應商履行或者交付的期限;如果默克書面同意延長的,供應商應當依照該書面同意中修改的期限及條件提供貨物或服務。

5)供應商未能在約定的時間內完成交付或履行的,應依照法律規定及合同約定承擔責任。雙方如在相關合同中約定了違約金或損害賠償金等懲罰條款,在適用法律允許範圍內,默克有權在任何時候實施該等條款。雙方沒有約定該等條款的,供應商對默克因此所遭受的任何損害、傷害、損失、成本、或費用負責,包括但不限於直接、間接、特殊或偶然損失、收入損失、營業干擾、或任何其他商業或經濟上的損失。默克有權在任何時候從任何一筆默克欠供應商的未付款項中扣除上述罰金或賠償金。

 

3.價格及付款期限

1)採購合同/訂單中的價格是有約束力的,並且應是固定的。

2)如採購合同/訂單價格包含增值稅,該增值稅應單列。

3)除非採購合同/訂單中另有明確規定,付款應在貨物或服務交付並收到供應商發票後60天內支付。 

4)如果所購買的貨物或服務須經過品質測試或驗收,則前條“交付”一詞應替換為“經品質測試或驗收合格後被默克接受”。

 

4.風險轉移,發貨和包裝

1)除非採購合同/訂單中另有明確規定,所有權及風險應在交付時轉移給默克。如果所購買的貨物或服務須經過品質測試或驗收,則前條“交付”一詞應替換為“經品質測試或驗收合格後被默克接受”。

2)供應商應選擇對默克最節約成本、安全、迅速和最適合的運輸方式。

3) 貨物的包裝應能夠防止運輸過程中發生的損壞。僅可以使用環保的包裝材料。

 

5.擔保

1)供應商聲明並保證其提供的貨物和/或服務具備保證的品質,不存在任何影響其價值或適用性的缺陷,並符合訂單規定的條件及通常認可的技術標準。供應商亦保證提供的產品和/或服務不存在所有權或智慧財產權方面的缺陷。

2)供應商保證所提供的貨物和/或服務符合現行的法律、法規,以及交付之時適用及有效的技術安全標準。

3)如果交付的貨物和/或服務未能滿足上述任何或全部保證,默克應有權選擇要求供應商對缺陷進行補救或提供無缺陷的貨物和/或服務。補救缺陷或替換貨物和/或服務而產生的所有費用(包括但不限於卸裝、安裝、退貨、運輸等),均應由供應商承擔。

4) 供應商如未能及時就缺陷進行補救,默克可以自行補救缺陷或請協力廠商補救缺陷,其費用和風險皆由供應商承擔。默克就補救缺陷必需的任何費用,有權要求供應商預付。

5)除非另有明確的書面約定,供應商應對自接收供應商交付之日起或通過驗收接受之日起(以較晚者為准)24 個月或相關法律、法規規定的更長的質保期限之內出現的缺陷負責。工程或建築物的質保期則為通過驗收接受之日起五年或相關法律、法規規定的任何更長的質保期限。

6)如果供應商就其所供貨物和/或產品的品質和壽命已經提供額外保證,則默克可以保留該保證項下的所有權利。

7)供應商應使默克免受因其所供產品和/或服務的缺陷而引起的任何產品品質索賠的損害並對默克進行相應賠償。

 

6. 合規條款

1) 默克在實施其商業行為時遵守國際公認的環境、勞務和社會標準。同樣,默克希望其供應商能夠遵守同等的標準。如果默克發現供應商違反了該等標準(如,關於雇傭童工、強迫勞動),默克保留終止與相關供應商的所有採購合同/訂單的權利。此外,默克要求供應商向其自己的供應商敦促推行相關環境、勞務和社會標準。

2)供應商在此聲明其已經從默克網站上知曉並承諾遵守《默克社會憲章》和《默克行為規範》,其中包括反賄賂和反腐敗規範。供應商同意一旦默克發現供應商違反上述規範,默克將有權立即終止與相關供應商的所有採購合同/訂單。供應商應當就此賠償默克並使默克免於因供應商的該等違規行為而承擔責任或遭受損害。

3)供應商在此聲明其瞭解默克在環境保護關注方面採用高標準。

4)供應商亦應保證其轉包商和/或分包商(若有)履行本第六款項下的合規義務。

 

7.保密性

1) 供應商承諾,對於通過默克獲得的所有商業或技術資訊,只要此類資訊尚未成為公開信息,皆應將其作為商業秘密保密,並且僅提供給為向默克供應目的而需要瞭解該資訊的人員,且該等人員應遵守同樣的保密義務;在任何情況下,所有此類資訊皆繼續為默克的獨有財產。

2) 未經默克的事先書面許可,供應商不得在任何資訊或廣告材料中提及其與默克的業務關係。

 

8. 履約地點

除非訂單中另有規定,否則履約地點應為默克指定地點。


9. 可分割性

在任何時候,如果本條款中的任何規定的任何方面變得無效或無法執行,其餘規定的有效性和可實施性應不受任何影響或損害。在此情況下,雙方應商定有效或可執行的規定來替代無效或無法執行的規定;替換的規定應儘量反映出原無效或無法執行的規定的商業意圖。


10. 終止

如果供應商(a)涉及或被裁決破產,或進入破產接管、清算、或供應商被要求破產、破產接管、清算,或(b)未能在採購合同或訂單約定的時間內完成交付或履行的,或(c)違反採購合同或訂單約定的任何義務的,默克有權(在不影響其他權利或救濟的情況下)立刻中止或終止訂單/合同。

 

11. 適用法律

1)本條款適用中華人民共和國香港特別行政區法律,其衝突法規除外。《聯合國國際貨物銷售合同公約(CISG)》不適用。

2)除非另有明確的書面約定,由本條款引起的,或與本條款有關的所有爭議,皆由默克所在地法院管轄。

 

本通用採購條款適用於默克集團在中華人民共和國香港特別行政區的以下公司:

  • 默克有限公司
  • 默克功能性材料香港有限公司
  • 默克藥業(香港)有限公司
  • 西格玛奥德里奇(香港)投资有限公司

默克有權不時對上述公司清單進行變更。

General Terms and Conditions of Purchase of Merck

1. Scope of applicability

1) Unless otherwise mutually agreed by both parties to exclude all or part of these General Terms and Conditions of Purchase (hereinafter referred to as “these Conditions”) in a separate written contract, these Conditions shall apply and become an integral part of the purchase contract/order 2) These Conditions shall be attached to a purchase contract or order, and confirmed by both parties when confirming/signing the purchase order or purchase contract.  If there is any new version of these Conditions, Merck may, in its sole discretion, determine whether the new version should supersede the old Conditions attached to any purchase contract or order signed before the implementation of the new version of the Conditions.  If Merck decides that the new version should apply, then the new version shall be applicable upon Merck sending a written notice to the supplier addressing such a decision and include the new version of the Conditions.

 

2. Order & Delivery

1) Only written purchase contracts/orders and written purchase contracts/order modifications confirmed by both parties are binding.

2) Supplier shall confirm the purchase order in writing timely. If Merck does not obtain the written confirmation from the supplier within 3 working days from the date of order, the order shall become invalid automatically.

3) Partial deliveries or performance is subject to Merck’s prior written consent.

4) Should the supplier recognize that it will not be able at all or in due time to fulfill its obligations in whole or in part, the supplier shall immediately inform Merck in writing, stating the reasons and the presumable duration of the delay. Merck may determine, at its sole discretion, whether to extend the supplier’s delivery period. If Merck consents to extend the delivery period, the supplier shall deliver in accordance with the revised time frame and terms set forth in such written consent.

5) Should the supplier fail to effect delivery or performance within the agreed time period, the supplier shall be held liable in accordance with the law and contract provisions. If both parties have agreed on a penalty clause for default or compensation in the applicable contract, to the extent permitted by the applicable law, Merck shall be entitled to enforce such clause at any time. If the contract does not include such penalty clauses, the supplier shall be liable to Merck for any damages, injury, loss, costs, or expenses, howsoever caused, including but not limited to direct, indirect, special or consequential damages, lost revenue, business interruption, or any other commercial or economic loss. Merck may deduct the late delivery penalty or compensation from any unpaid payment owed by Merck to supplier.

 

3. Prices / Terms of payment

1) The price quoted in the purchase contract/order is binding and fixed. 

2) The statutory value added tax shall be listed separately in all cases if it is included in the price quoted in the purchase contract/order.

3) Payment shall be made net within 60 days after delivery of goods or service and receipt of supplier invoice, unless otherwise expressly stated in the purchase contract/order.

4) If the purchased good or service is subject to any quality testing or inspection, the above said “delivery” shall be replaced by “acceptance after passing the quality testing or inspection by Merck”.

 

4. Passing of risk, shipment, packaging

1) The title and risk shall pass on to Merck upon delivery, unless otherwise expressly stated in the purchase contract/order. If the purchased good or service is subject to any quality testing or inspection, the above said “delivery” shall be replaced by “acceptance after passing the quality testing or inspection by Merck”.

2) Supplier shall choose the transportation option which is most cost-effective, safest, fastest and most suitable for Merck.

3) The packaging of the goods shall be able to prevent damage incurred during the transportation. Only environmentally friendly packaging materials may be used.

 

5. Warranty

1) Supplier represents and warrants that the goods delivered and/or services rendered have the properties assured, do not have any defect impairing their value or suitability and comply with the conditions set forth in the order and the generally acknowledged technical standards. The Supplier also represents and warrants that the goods delivered and/or services rendered are free of defects of title or any intellectual property right.

2) Supplier warrants that the goods delivered and/or services rendered are in compliance with current laws, regulations and technical safety standards applicable and in effect at the date of delivery.

3) Should the delivered goods and/or rendered services fail to meet any or all of the warranties set forth above, Merck shall be entitled to demand remedy of defects or replacement with defect free goods and/or services. All costs incurred due to remedy or replacement (including but not limited to demounting, mounting, return, transportation etc.) shall be borne by the supplier.

4) If the supplier fails to timely remedy any defect, Merck may remedy the defects itself or have them remedied by third parties at the supplier’s cost and risk. Merck shall be entitled to demand an advance payment from supplier in respect of any expenditures necessary for remedying the defect(s).

5) Unless expressly agreed otherwise in writing, the supplier shall be liable for defects that arise within 24 months (or any longer warranty period required by applicable laws or regulations) from the date of Merck’s receipt of the goods supplied by Supplier or the date of acceptance after inspection (whichever is later); for construction works or buildings, such period shall be five years (or any longer warranty period required by applicable laws or regulations).

6) If the supplier has undertaken to guarantee the properties or durability of the goods supplied and/or services rendered, Merck may reserve all rights under such guarantee.

7) Supplier shall indemnify and hold Merck harmless from any product liability claims which are attributable to a fault in the good and/or service supplied by the supplier.

 

6. Compliance Clause

1) Merck conducts its business in accordance with internationally recognized environmental, labor and social standards. Equally, Merck expects its suppliers to comply with comparable standards. Should Merck discover that the supplier is in breach of these standards (e.g. relating to child labor, forced and compulsory labor), Merck reserves the right to terminate all purchase contracts/orders with the relevant supplier. In addition, Merck asks its suppliers to urge their own respective suppliers to introduce corresponding environmental, labor and social standards.

2) Supplier hereby confirms that it is aware of and undertakes to comply with the Merck Social Charter and Merck’s Code of Conduct (including regulations on anti-bribery and anti-corruption), which are available on Merck’s website. Supplier also agrees that, in the event that Merck discovers that the supplier is in breach of the above regulations, Merck is entitled to terminate all purchase contracts/orders with the relevant supplier immediately. Supplier shall indemnify and hold Merck harmless from any liability or damage arising from the violation of such regulations by supplier.

3) Supplier is aware that Merck applies a high standard of care in connection with the protection of the environment.

4) Supplier shall also impose compliance obligations under this Article 6 to its subcontractors and/or subordinate contractors (if any). 

 

7. Confidentiality

1) Supplier undertakes to treat all commercial or technical information which is provided by Merck to supplier as business secrets, as long as and to the extent they are not public knowledge and may only make available such information to persons who need to make use of the information for the purpose of supplying to Merck and such persons are bound by similar obligations to maintain such information in confidence; in any case such information shall remain the exclusive property of Merck. 

2) Supplier shall not refer to its business connection with Merck in any informational or advertising material without Merck’s prior written consent.

 

8.Place of Performance

Unless otherwise stipulated in the order, the place of performance shall be the location specified by Merck.

 

9. Severability

If at any time any provision under these Conditions is or becomes invalid or unenforceable in any respect, the validity and enforceability of the remaining provisions hereof shall not be affected or impaired, and such invalid or unenforceable provision shall be replaced by the parties with a valid or enforceable provision which reflects as closely as possible the commercial intent of such invalid or unenforceable provision.

 

10. Termination

If the supplier (a) becomes insolvent  is adjudged bankrupt or goes into receivership or liquidation or any petition is presented against the supplier for bankruptcy, receivership or liquidation, (b) fails to deliver or perform within the time period as specified in a purchase contract/order, (c) or the supplier breaches any obligation under a purchase contract/order, Merck shall be entitled to immediately suspend or terminate the purchase order/contract (without prejudice to its other rights or remedies).

 

11. Applicable law

1) These Conditions shall be governed by the laws of the Hong Kong Special Administrative Region of the People's Republic of China, excluding its rules on conflict of laws. The application of the United Nations Convention on International Sales of Goods (CISG) is hereby explicitly excluded.

2) Unless expressly agreed otherwise in writing, all disputes arising out of, or in connection with these Conditions shall be handled by the court which has the jurisdiction over where Merck is located.

 

 This General Terms and Conditions are applicable to the companies of Merck KGaA in the People’s Republic of China:

  • Merck Limited
  • Merck Performance Materials Hong Kong Limited
  • Merck Pharmaceutical (HK) Limited
  • Sigma-Aldrich Hong Kong Holding Ltd

Merck has the right to make change to the above list of companies from time to time.
